1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and SolarFunnels Inc., doing business as HVACGrit ("HVACGrit," "we," "us," or "our"). By accessing or using our website at hvacgrit.com, our platform at app.hvacgrit.com, or any of our services (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Services

HVACGrit provides AI-powered lead management, marketing automation, and advertising management tools designed for HVAC contractors. Our Services include:

Automated lead response and qualification
AI-powered instant quote generation
Appointment scheduling and management
CRM (Customer Relationship Management) tools
Advertising campaign monitoring, management, and optimization through integrated third-party platforms (Meta/Facebook, Google Ads)
Performance reporting and analytics

3. Account Registration

You must provide accurate, complete, and current information when creating an account
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access to your account
You are responsible for all activity that occurs under your account
You must be at least 18 years old to use our Services

4. Subscription and Payments

Access to our Services requires a paid subscription
Subscription fees are billed monthly in advance
All fees are non-refundable except as required by law
We may change our pricing with 30 days' notice
You authorize us to charge your payment method on file for recurring subscription fees
If payment fails, we may suspend access to the Services until payment is received

5. Cancellation

You may cancel your subscription at any time. Upon cancellation:

You will retain access until the end of your current billing period
No partial refunds will be issued for unused time
Your data will be retained for 30 days after cancellation, after which it will be deleted
You may request immediate data deletion by contacting us

6. Third-Party Platform Integration

Meta (Facebook/Instagram)

When you connect your Meta advertising account to our Services:

You authorize us to access and manage your Meta advertising data on your behalf
Your use of Meta data through our Services is also subject to Meta's Terms of Service
We will not use your Meta data for any purpose other than providing our Services
You can disconnect your Meta account at any time through your account settings or through Facebook's app settings

Google Ads

When you connect your Google Ads account to our Services:

You authorize us to access and manage your Google Ads data on your behalf
Our use of Google Ads data complies with the Google API Services User Data Policy, including the Limited Use requirements
You can revoke our access at any time through your Google Account permissions

We are not responsible for changes to third-party platform APIs, terms, or policies that may affect the availability or functionality of our Services. We do not guarantee specific advertising results or performance outcomes.

7. Your Responsibilities

You agree to:

Comply with all applicable laws and regulations, including advertising laws and regulations
Comply with Meta's and Google's advertising policies when using our campaign management features
Obtain all necessary consents before collecting and processing lead data through our Services
Not use our Services for any unlawful, deceptive, or harmful purpose
Not upload or transmit malicious code, spam, or harmful content
Not attempt to reverse engineer, decompile, or otherwise access the source code of our Services
Not resell, sublicense, or redistribute access to our Services without our written consent
Ensure that your advertising content and campaigns comply with all applicable laws and platform policies

8. Intellectual Property

All content, features, and functionality of the Services — including software, text, graphics, logos, and trademarks — are owned by SolarFunnels Inc. and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Services without our written consent.

You retain ownership of all data you upload to or create through our Services. You grant us a limited license to use your data solely to provide and improve the Services.

9. AI-Powered Features

Our Services include AI-powered features such as automated lead responses, quote generation, and campaign optimization. You acknowledge that:

AI-generated responses and recommendations are automated and may not always be accurate
You are responsible for reviewing and approving AI-generated content before it is sent to your customers
We do not guarantee specific outcomes from AI-powered features
AI features may be updated or modified as we improve our technology

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HVACGRIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee specific advertising results, lead conversion rates, revenue increases, or return on investment. Any performance metrics or examples provided are illustrative only and are not guarantees.

12. Indemnification

You agree to indemnify, defend, and hold harmless HVACGrit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Grounds for termination include:

Violation of these Terms
Non-payment of subscription fees
Fraudulent or illegal activity
Violation of third-party platform policies
Upon your request

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
